1. Engagement: This Agreement is entered on (Date)______________, between provider RND Resources, Inc. (RND) at : 6301 Owensmouth Avenue, Suite 750, Woodland Hills, CA 91367 and Subscriber____________________________________(Firm Name). 2. RND Resources, Inc. Obligations: 2.1 Term: Pursuant to the terms and conditions of this Agreement, RND Resources, Inc. (RND) shall perform and deliver to (Subscriber) SEC Reports as indicated on the Subscription Order Form herein. 2.2 RND Services to be Provided: RND will provide reports and analysis and shall deliver such reports and files so that the Client will be in compliance with SEC Rule 11Ac1-5 and/or SEC Rule 11Ac1-6 reporting requirements. 2.3 SEC Rule 11Ac1-5: This rule requires all market centers to publicly disclose, on a monthly basis, standardized information concerning their handling of execution orders. Each market center must notify NASD of RND's web site address where their compliance files can be found and downloaded. RND shall, if designated on subscription form(s), provide electronic reports that include statistical measures of execution quality. Such uniform statistical measures of execution quality shall be consistent with the requirements, methodology and definitions contained in SEC Final Rule: Disclosure of Order Execution and Routing Practices [Release No. 34-43590: File S7-16-00] as it pertains to Rule 11Ac1-5 and future releases issued. Consistent with Rule 11Ac1-5, RND shall prepare such reports in a usable and machine-readable electronic format and make such reports available, if requested by Subscriber, for down-loading from an Internet web site that is free and readily accessible to the public. 2.4
SEC Rule 11Ac1-6: This rule requires brokers to make publicly
available, on a quarterly basis, a report on their routing of their equity and
option orders. The report must include the percentage of customer orders that
were market orders, limit orders and other types of orders; the identity of the
top 10 market centers to which such orders were routed and any other market
center that received 5% or more of such orders; and a narrative discussion of
the material aspects of the firm's relationship with each market center
identified in the report. The reports must be posted on a free, public and
readily accessible Web Site. 2.5 Confidentiality: RND acknowledges that, in order to satisfy its obligations under the Agreement, it will gain access to certain information which is either confidential, proprietary or otherwise not generally available to the public ("Confidential Information’’). RND agrees that any information it receives regarding Subscriber will be kept confidential, not divulged to any person or entity, and will not be used other than in connection with RND’s performance under this Agreement. All confidential and proprietary information shall be protected by RND in the same manner and with the same degree of care with which RND would treat its own confidential or proprietary information or data. RND warrants that it will use reasonable efforts to safeguard the Confidential Information from unauthorized disclosure. 3. Subscriber Obligations 3.1
File Submission: Subscriber agrees to instruct its executing
firms to provide ASCII trade file(s) to be delivered on a timely basis to RND
via 3.2 File Format: Subscriber agrees to instruct its executing firms to cooperate with RND in providing the trade file information in the appropriate format. All trade files submitted to RND for processing shall be formatted in the same manner as the first such file submitted for each executing firm. Any subsequent file format changes must be pre-approved by RND systems engineers. Times must be expressed in EST/EDT, as appropriate. File record layouts and field particulars must be submitted with the initial file. Each file submitted for processing must contain a minimum set of data items as defined by RND. These requirements shall be forwarded to Subscriber’s executing firms upon receipt and acceptance by RND of the Subscription Order Form. . ...............................................................................
